About the role
We are thrilled to announce an exciting opportunity for a Legal Secretary to join Orica’s dynamic Legal team, based in Sandton, supporting our operations across Africa.
In this key role, you will work closely with business leaders and legal professionals, contributing to critical projects that drive compliance, governance, and legal excellence across multiple entities in Africa. What you will be doing
Administration of corporate governance of Orica subsidiaries in EMEA (EMEA Subsidiaries), primarily those based in Africa and ensuring that all boards of directors, supervisory boards or equivalent (Boards) properly discharge their fiduciary duties in accordance with the local legislation and applicable standards and procedures and operate according to the provisions of the relevant constitutional documents of the EMEA Subsidiary’s Articles.
Preparation of minutes and resolutions by directors and shareholders, together with routine approvals, including the re-election of auditors, directors and officers and the issuance of powers of attorney.
Where required, submission of relevant documents to the local Companies Registry, Court, Chamber of Commerce or other similar institution and ensuring timely payment of government or license fees required to keep the EMEA Subsidiaries in good standing.
Preparation and submission of any statutory company secretarial returns and mandatory corporate returns (non-tax) including non-industry specific license renewals or jurisdiction specific annual returns.
Maintain accurate documentation of corporate governance activities and processes, including updating and maintaining the statutory books, records and registers for the EMEA Subsidiaries.
Confirmation of key legal entity information and provision of copies of constitutional documents (e.g., articles of association) or other corporate documentation of the EMEA Subsidiaries such as Board or shareholder resolution and the provision of information to auditors, banks, suppliers, etc.
Gather approvals for Director appointments, powers of attorney or any corporate resolutions of the EMEA Subsidiaries that require approval in accordance with Orica’s standards or procedures.
Delivery of Subsidiary Director Training and Induction to newly appointed directors of the EMEA Subsidiaries in accordance with Orica’s standards and applicable local laws and regulations.
Update data and records of the EMEA Subsidiaries in Orica’s management software system.
Manage and administer Orica’s corporate governance policy framework, including maintenance of templates and guidance documentation and serving as the primary point of contact for advice on corporate governance in EMEA.
Conducting corporate health check of EMEA entities, corporate compliance audits and other legal or compliance audits within EMEA.
What you will bring
Minimum 7 years of experience in the role
Legal secretary qualification
Sound experience in a corporate environment with operations in multiple countries
Experience in a company secretarial or senior administrative role, preferably within a regulated environment
Understanding of mining processes and value drivers.
Fluency in English. French language proficiency is added advantage.
